Applicant herein certifies that the information contained herein is true and correct and that he or she is authorized to execute this Application on behalf of the Entity‪ named ‪(“Applicant”). ‪Applicant ‪hereby ‪authorizes ‪Thunder Road Logistics ‪or any of its agents to obtain credit information from the bank, trade, transportation and credit references listed and credit reporting companies as Thunder Road Logistics deems necessary to determine Applicant’s ‪payment ‪history ‪and ‪report ‪credit ‪information to others. Applicant agrees and accepts each of the Terms and Conditions found on the Thunder Road Logistics website at www.ThunderRoadLogistics.com/terms. It is understood and agreed that all freight or other charges billed by Thunder Road Logistics are due within thirty (30) days from the date of an invoice. Any such charges not paid to Thunder Road Logistics within thirty (30) days from the date of an invoice shall accrue interest at the rate of 1.5% per month. It is further agreed that the Applicant shall pay any collection expenses, including, but not limited to, reasonable attorney fees and court costs,that may become necessary to effect collection from Applicant, whether any such attorney fees or expenses are incurred with or without or before or after commencement of any formal proceedings or any lawsuit or incurred prior to or after entry of a judgment. All transactions and dealings between Thunder Road Logistics and Applicant shall be governed by the laws of the State of Wyoming and, where applicable, federal law. Jurisdiction and venue for any and all actions or proceedings between Applicant, Thunder Road Logistics, and/or any shipper, consignee, or other third party involved in the movement of freight shall be proper in the courts in and for the State of Wyoming located in Johnson County and the U.S. District Court for the District of Wyoming and Applicant agrees to bring any actions against Thunder Road Logistics exclusively in such Courts. Applicant further waives and agrees not to assert any defense based upon jurisdiction, venue,inconvenience of forum, lack of personal jurisdiction, or similar doctrine for actions commenced by Thunder Road Logistics in such courts. Applicant further waives any right to a jury trial. Applicant further agrees not to back solicit or tender loads directly to the carriers that Thunder Road Logistics arranges to haul the freight of Applicant,nor to allow such carriers to haul freight directly for the Applicant. Applicant further agrees that any and all claims for loss or damage to cargo or theft of cargo and any claims for a delay in delivery of freight will be directed to and asserted directly against the carriers arranged by Thunder Road Logistics. No such claims will be asserted against Thunder Road Logistics; and, Thunder Road Logistics, who is acting in all respects pertaining hereto as an interstate property broker, will not be liable for any such claims. Liability is limited to $0.50/pound up to a maximum liability limit of $25,000. Delay claims, in any event, shall be limited to a maximum amount equal to $100.00 per day by which delivery was late or, in the event premium on-time service is required, Applicant will provide written notice of Foreseeable Expenses to both Thunder Road Logistics and to the Carrier prior to dispatch of the load that details costs to the shipper of any late delivery in advance to the carrier.
